1. Acceptance of terms

By accessing or using StandWithPrivy.com (the "Site"), submitting your personal information, or contributing to the Privy crowdfunding campaign (the "campaign"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Site or submit any personal information.

2. About the campaign

Privy Inc. ("we," "us," or "our") is conducting a crowdfunding campaign to fund the development and production of the Privy stand-up fixture, a new bathroom fixture. This campaign is operated independently and is not administered by any third-party crowdfunding platform unless explicitly stated. Contributions are voluntary and do not constitute a purchase of securities or ownership interest in the company.

3. Personal information we collect

When you interact with the Site or campaign, we may collect identity and contact information, financial information processed by payment providers, technical and usage data, and communications you submit via contact forms or email.

4. How we use your information

• To process and confirm campaign contributions.
• To fulfill any rewards, perks, or pre-orders associated with a contribution tier.
• To communicate campaign updates, product milestones, and shipping timelines.
• To send marketing or promotional communications where permitted.

We do not sell your personal information. We may share information with payment processors, fulfillment and logistics partners, analytics and marketing platforms, legal or regulatory authorities, and successors or acquirers in connection with a business transaction.

9. Contribution terms and refund policy

All contributions are made voluntarily and are generally non-refundable once processed, except as required by applicable law. We cannot guarantee that the campaign will reach its funding goal, that the product will be delivered on any specific timeline, or that the final product will match all pre-production specifications. Refund requests may be considered on a case-by-case basis within 30 days of contribution.

10. Intellectual property

All content on the Site, including product designs, text, graphics, logos, photographs, and videos, is the property of Privy Inc. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without prior written consent.

11. Disclaimer of warranties

The Site and campaign are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by applicable law, Privy Inc. and its officers, directors, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Site, participation in the campaign, or reliance on information provided here. Our total liability for any claim shall not exceed the amount of your contribution to the campaign.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Virginia, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration in Arlington, VA under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to these terms

We reserve the right to update or modify these Terms at any time. When we do, we will post the revised Terms with an updated effective date and, where appropriate, notify you by email. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
